For a mining exploration entity with a 30 June year end, the September quarter closed on 30 September 2026. The clock that started that day is set by ASX Listing Rule 5.5, and it leaves less room than the phrase "one month" suggests.
What Listing Rule 5.5 requires
Rule 5.5 applies to a mining exploration entity and an oil and gas exploration entity. It has two limbs, and the second one gets all the attention:
- The first limb. The Appendix 5B must be given to ASX as soon as the information is available for release to the market.
- The second limb. In any event, it must be given within one month after the end of each quarter of the entity's financial year.
The note to the rule explains the first limb: quarterly cash flow information is available for release once it has been properly compiled, verified and approved. ASX Guidance Note 23 (section 4) adds that ASX reads the timing word in rule 5.5 the same way it does for continuous disclosure, as meaning promptly and without delay. It also says that once a quarterly cash flow report has been approved, its release should not be held back to the end of the month simply because that is the last permitted day.
So the one month is an outer limit, not a target date.
For an entity with a 30 June year end, Guidance Note 23 gives the outer limits as 31 October, 31 January, 30 April and 31 July. This year 31 October falls on a Saturday. Listing Rule 19.5 says that when a listing rule requires something to be done by a day that is not a business day, it must be done by the preceding business day. The September quarter reports are therefore due by Friday 30 October 2026.
Two documents, one lodgement
The Appendix 5B does not travel alone. Listing Rule 5.3 requires a mining exploration entity to give ASX a quarterly activity report at the same time as it gives its Appendix 5B under rule 5.5. The activity report covers the entity and its child entities on a consolidated basis, and several of its required items come straight from the finance function:
| Rule | What the activity report must include | Where the figures come from |
|---|---|---|
| 5.3.1 | Exploration activities for the quarter and a summary of the expenditure incurred on them | Exploration spend by project in the ledger |
| 5.3.4 | If the quarter falls in a period covered by a listing "use of funds" statement, actual spend against each item since admission, with material variances explained | Cumulative spend since admission, mapped to the prospectus items |
| 5.3.5 | A description of, and explanation for, payments to related parties and their associates included in the Appendix 5B | The same payments reported in Section 6 of the 5B |
Rule 5.3.2 asks for the same on any production and development activities, and rule 5.3.3 for tenement and farm-in or farm-out details. The practical point is that the activity report and the 5B must agree with each other. The related-party figure described under rule 5.3.5 is the one in Section 6 of the 5B, a line we covered in Appendix 5B Section 6: Director Fees and Related-Party Payments.
What happens if the documents are late
Listing Rule 17.5 deals with a failure to lodge. If an entity does not give ASX the documents required under a list of rules that includes both 5.3 and 5.5, ASX will suspend its securities from quotation on the trading day after the date the documents were due. The rule then says: "ASX will not waive this rule." The note beneath it adds that the suspension takes effect before trading commences.
Three things follow:
- Either document can trigger it. Rule 17.5 lists rule 5.3 as well as rule 5.5. A finished 5B does not protect the entity if the activity report is not lodged.
- The suspension is automatic. Guidance Note 23 (section 5) describes it as automatic, from the start of trading on the first trading day after the due date.
- Reinstatement follows lodgement. Under Listing Rule 17.8, ASX will normally reinstate quotation before trading starts on the day after it receives the documents and any outstanding fees.
Working back from the due date in Xero
Guidance Note 23 (section 10) says ASX would generally expect quarterly reports to be approved and authorised for release by the board or a board committee, as a matter of good governance and not as a Listing Rule requirement. Section 4 adds that where an entity requires its quarterly reports to be approved by its board, a board committee or senior management, the information is not available for release until it has been through that approval process. The approval step therefore sits inside the one month, and the finance work has to finish well before it.
The timetable below is illustrative only: a working plan, not an ASX requirement.
| By | Finance task |
|---|---|
| 9 October | Every bank and term deposit account reconciled in Xero to 30 September. |
| 14 October | Spend reviewed by project. Related-party payments listed for Section 6 and rule 5.3.5. |
| 19 October | Draft 5B complete. Expenditure summaries sent to whoever writes the activity report. |
| 23 October | Both documents with the board or committee for approval. |
| On approval | Lodge both documents together, promptly. |
The first row decides the rest. We set out that step in How to Prepare Your Xero Data for the June Quarter Appendix 5B, and the same sequence applies to September. Put the approval date in the calendar first, then plan the finance work back from it.
